These Terms of Service (“Terms”) govern your use of the website and services provided by APEX DIGITAL LLC, doing business as Apex Digital (“Company”, “we”, “us”, or “our”). By accessing our website or engaging our services, you agree to these Terms.
We provide digital advertising, performance marketing, lead generation, website development, and related consulting services. All services are subject to separate statements of work or agreements that outline scope, fees, and deliverables.
We do not guarantee specific results, lead volumes, conversion rates, return on investment (ROI), ad placements, or campaign performance. Advertising outcomes depend on many factors including creative quality, offer strength, competition, budget, audience, platform policies, and market conditions. All campaigns are subject to the review and approval processes of the respective advertising platforms.
You are responsible for providing accurate information, timely feedback, and any necessary assets or approvals. You represent that you have the legal right to promote the products or services described in any campaign we manage on your behalf.
Unless otherwise agreed in writing, we retain ownership of all creative assets, strategies, and materials we develop. Upon full payment, you receive a limited license to use approved deliverables for the purposes outlined in our agreement.
To the maximum extent permitted by law, our total liability arising out of or related to our services shall not exceed the total fees paid by you to us in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages.
Either party may terminate services as outlined in the applicable statement of work. Upon termination, you remain responsible for payment for services rendered through the termination date.
These Terms are governed by the laws of the State of Oregon and applicable United States federal law, without regard to conflict of law principles.
